As businesses work through the initial shock of
the coronavirus pandemic and the economic impact that followed, many companies
are now reassessing their contractual rights and obligations, including a boilerplate clause few had paid attention to before: force majeure. This course discusses whether force majeure or “act of God”
clauses justify the suspension of performance of a party’s duties under the
contract. It covers the details of a force majeure clause, differences among jurisdictions around the clause, common law defenses, contractual damages, and related contracting issues for the distilled spirits industry.

1. Understand what a force majeure clause is and how it is dealt with in different jurisdictions
2. Determine which contractual issues could arise for distilled spirit organizations with regard to these clauses
