TERMS OF USE

ACCEPTANCE OF TERMS

These Terms of Use ("Terms") constitute a legally binding agreement between you and the International Society for Medical Publication Professionals ("ISMPP," "we," "us," or "our") governing your access to and use of the ISMPP Learning Hub (the "Platform"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. DEFINITIONS

"Content" means all materials available on the Platform, including but not limited to presentations, videos, documents, templates, assessments, SCORM modules, articles, and other educational resources.

"Member" means an individual who maintains current paid membership with ISMPP.

"Purchaser" means a non-member individual who has purchased access to specific Content.

"Authorized User" means either a Member or Purchaser who has valid access rights to the Platform.

"Organization" means the company, institution, or entity where you are employed or with which you are professionally affiliated.

2. LICENSE GRANT

2.1 Scope of License

Subject to your compliance with these Terms, ISMPP grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Content solely for your individual professional development and educational purposes.

2.2 Member Access

Members receive access to the Platform as a benefit of membership. Access continues for the duration of active membership and terminates upon membership expiration or termination unless membership is renewed.

2.3 Purchaser Access

Non-members may purchase access to specific Content. The scope and duration of access will be specified at the time of purchase. Unless otherwise stated, purchased access is perpetual but subject to these Terms.

3. USAGE RESTRICTIONS

3.1 Prohibited Uses

You agree NOT to:

  • Share, transfer, or allow others to use your account credentials
  • Download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content for commercial resale or public redistribution without ISMPP's prior written consent
  • Modify, adapt, translate, reverse engineer, decompile, or create derivative works based on the Content
  • Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices
  • Use any automated means (including robots, scrapers, or data mining tools) to access the Platform
  • Circumvent, disable, or interfere with security features or access controls
  • Use the Platform for any unlawful purpose or in violation of these Terms

3.2 Permitted Uses

You may:

  • Access and view Content for your personal professional development
  • Apply knowledge and principles learned from Content in your professional work
  • Download Content where explicitly permitted, solely for your individual offline reference
  • Cite or reference Content in your own work with proper attribution to ISMPP
  • Share downloaded materials with colleagues within your Organization for internal business purposes
  • Use business templates (such as agreements, forms, and contracts) with external parties for their intended business purpose, including sharing completed/customized documents with authors, sponsors, research institutions, and other business partners

4. INTELLECTUAL PROPERTY RIGHTS

4.1 ISMPP Ownership

The Platform and all Content are owned by ISMPP or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. © 2026 International Society for Medical Publication Professionals. All rights reserved.

4.2 Reservation of Rights

All rights not expressly granted to you in these Terms are reserved by ISMPP. No license or right is granted to you by implication or otherwise under any patent, trademark, copyright, or proprietary right of ISMPP or any third party.

4.3 Copyright Infringement

ISMPP respects the intellectual property rights of others. If you believe any Content infringes your copyright, please contact us at [email protected] with detailed information about the alleged infringement.

5. PAYMENT TERMS (FOR PURCHASERS)

5.1 Fees

Non-members must pay the applicable fees to access specific Content. All fees are stated in U.S. dollars and are non-refundable except as required by law or as expressly stated at the time of purchase.

5.2 Payment Processing

Payments are processed through third-party payment processors. You agree to provide accurate payment information and to promptly update your account with any changes. ISMPP is not responsible for any issues with third-party payment processors.

5.3 Refund Policy

 All sales are final.

6. ACCOUNT RESPONSIBILITIES

6.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify ISMPP of any unauthorized use of your account.

6.2 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to update this information as necessary to maintain its accuracy.

6.3 Account Sharing Prohibition

Each account is for individual use only. Account sharing is strictly prohibited and constitutes a material breach of these Terms. Each person accessing the Platform must have their own Authorized User account.

While you may share downloaded Content within your Organization, you may not share your login credentials or allow others to access the Platform through your account.

7. TERM AND TERMINATION

7.1 Term

These Terms commence when you first access the Platform and continue until terminated by either party as provided herein.

7.2 Termination by ISMPP

ISMPP may suspend or terminate your access to the Platform immediately, with or without notice, for any reason including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees (for Purchasers)
  • Membership expiration or termination (for Members)
  • At ISMPP's sole discretion

7.3 Termination by You

You may terminate your account at any time by contacting ISMPP. Termination does not entitle you to any refund of fees paid.

7.4 Effect of Termination

Upon termination, your license to access and use the Platform and Content immediately ceases. You must cease all use of Content and, if requested by ISMPP, destroy any copies in your possession. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 7.4, 8, 9, 10, and 12.

8. DISCLAIMERS

8.1 "AS IS" BASIS

THE PLATFORM AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 No Professional Advice

Content is provided for educational and informational purposes only and does not constitute professional, medical, legal, or regulatory advice. You are solely responsible for how you apply information from the Platform in your professional practice. ISMPP does not guarantee the accuracy, completeness, currency, or applicability of any Content to your specific situation.

8.3 No Warranty of Availability

ISMPP does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. ISMPP may modify, suspend, or discontinue any aspect of the Platform at any time without notice or liability.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISMPP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ISMPP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ISMPP'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO ISMPP FOR ACCESS TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above exclusions and limitations shall apply to the maximum extent permitted by law.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ISMPP, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Platform or Content; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights; (d) any unauthorized sharing or distribution of Content; or (e) your sharing of Content within your Organization if done in violation of applicable laws or third-party rights.

11. MODIFICATIONS TO TERMS

ISMPP reserves the right to modify these Terms at any time in its sole discretion. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform.

12. GENERAL PROVISIONS

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of New York, without regard to its conflict of law provisions.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without ISMPP's prior written consent. ISMPP may assign these Terms without restriction.

12.5 Entire Agreement

These Terms, together with any additional terms incorporated by reference, constitute the entire agreement between you and ISMPP regarding the Platform and supersede all prior or contemporaneous understandings and agreements.
